Terms of Service

These Terms of Service (“Terms”) govern your use of Onlead, a B2B lead generation and outreach platform (“Service”), provided by Donostia Technologies OÜ, an Estonian company (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Service Description

Onlead is a SaaS platform that helps businesses discover, enrich, and manage business leads through web scraping and data enrichment services. The Service uses automated tools including Apify and Newt to scrape publicly available data and provide search capabilities.

2. Data Usage and Ownership

2.1 Lead Data

All lead data generated through Onlead (“Lead Data”) is owned by you. The Company grants you a limited, non-exclusive license to use the Lead Data for legitimate business outreach purposes in compliance with applicable data protection laws.

2.2 Scraped Data

Data scraped by the Company on your behalf remains subject to the terms and intellectual property rights of the original sources. You are responsible for ensuring your use complies with the terms of service and robots.txt files of the websites you request to be scraped.

You acknowledge that you are responsible for ensuring all use of Lead Data complies with the General Data Protection Regulation (GDPR) and applicable data protection laws. This includes obtaining appropriate consent, maintaining necessary records, and respecting individuals’ rights.

3. Acceptable Use Policy

You agree NOT to:

Use the Service for spam, harassment, or unsolicited bulk outreach
Scrape data in violation of website terms of service or robots.txt rules
Use Lead Data for discriminatory, illegal, or unethical purposes
Reverse engineer or attempt to extract data through unauthorized means
Resell or redistribute Lead Data without written permission
Violate any applicable laws or regulations, including data protection laws
Interfere with Service availability or security

Violations of this policy may result in account suspension or termination without refund.

4. Service Availability and Uptime

The Company provides the Service on an “as-is” basis. We make no guarantees regarding uptime, availability, or continuous operation of the Service.

The Service may be unavailable due to:

Scheduled maintenance
Unplanned outages or technical failures
Third-party service disruptions (Apify, Newt, or other providers)
Network or infrastructure issues

We are not liable for losses resulting from service unavailability.

5. Payment and Refund Policy

5.1 Billing

Your use of Onlead is subject to the pricing plan you have selected. Billing occurs according to your subscription agreement. All fees are exclusive of applicable taxes unless otherwise stated.

5.2 Refunds

Refunds are not provided for partial months or unused subscription periods. Requests for refunds must be submitted within 14 days of charge and will be reviewed on a case-by-case basis.

5.3 Subscription Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You remain responsible for fees incurred prior to cancellation.

6. Intellectual Property

The Company retains all rights to the Service platform, including its design, functionality, algorithms, and documentation. You retain ownership of content and data you provide, but grant us a license to use it for providing the Service.

7. Disclaimers

THE SERVICE IS PROVIDED “AS-IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

The Company does not warrant that:

The Service will be uninterrupted or error-free
Results will be accurate, complete, or timely
Scraped data will be available or accurate
The Service complies with all your jurisdictional requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR:

Any indirect, incidental, consequential, special, or punitive damages
Loss of profits, revenue, data, or business opportunities
Costs of substitute goods or services
Any damages resulting from errors in Lead Data or scraping results

TOTAL LIABILITY of the Company shall not exceed the fees you paid in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or costs (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of applicable laws
Your use of Lead Data
Third-party claims related to scraped data

10. Account Termination

The Company may suspend or terminate your account at any time if:

You violate these Terms
You engage in illegal activity
You violate applicable data protection laws
You breach payment obligations

Upon termination, your access to the Service and Lead Data ceases immediately.

11. Privacy

Your use of the Service is governed by our Privacy Policy.

12. Modifications to Terms

The Company may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service constitutes acceptance of modified Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia and disputes shall be resolved exclusively in Estonian courts. The Company is registered in Estonia (Donostia Technologies OÜ).

14. Dispute Resolution

Before pursuing legal action, both parties agree to attempt to resolve disputes through good faith negotiation.

15. Severability

If any provision of these Terms is found invalid, the remaining provisions shall continue in effect.
